End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“User”) and Little Swaps (“we,” “us,” “our”), governing your access to and use of the Little Swaps mobile application and related services (the “App”). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree with the terms of this EULA, do not use the App.

1. License Grant

Little Swaps grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial purposes, in accordance with this EULA.

2. License Restrictions

You agree not to:

• Copy, modify, or create derivative works of the App.

• Reverse engineer, decompile, disassemble, or attempt to extract source code from the App.

• Rent, lease, loan, distribute, or sublicense the App to any third party.

• Use the App for any purpose that is unlawful, harmful, or inconsistent with its intended use as a kid's marketplace platform.

• Circumvent or interfere with security features of the App, including those meant to restrict access or prevent unauthorized use.

3. Ownership and Intellectual Property

The App, including its content, design, features, and functionality, is owned by Little Swaps and is protected by copyright, trademark, and other intellectual property laws. You agree that this EULA does not transfer any ownership rights in the App to you.

Any suggestions, ideas, or feedback you provide regarding the App may be used by Little Swaps without obligation to compensate you and are not confidential.

4. User-Generated Content

License to User Content: By posting or sharing content on the App, you grant Little Swaps a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display your content to operate and enhance the platform.
User Responsibility: You are solely responsible for the content you post on the App. Content must not violate any laws, infringe on intellectual property rights, or contain offensive, inappropriate, or harmful material.

5. Updates and Modifications

Little Swaps may, at its discretion, release updates or modifications to the App to enhance functionality, improve performance, or ensure security. You agree that updates may be installed automatically. This EULA applies to all updates and modifications unless stated otherwise.

6. Termination

Termination by Little Swaps: We reserve the right to suspend or terminate your access to the App at any time if you violate this EULA or misuse the platform.
Termination by User: You may discontinue using the App at any time by uninstalling it from your device.
Effect of Termination: Upon termination, the rights granted to you under this EULA will cease, and you must delete or destroy any copies of the App in your possession.

7. Disclaimer of Warranties

The App is provided on an “AS-IS” and “AS AVAILABLE” basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Little Swaps does not guarantee the accuracy, reliability, or quality of the items listed for sale on the platform, nor does it warrant the security of transactions conducted through the App.

8. Limitation of Liability

To the fullest extent permitted by law, Little Swaps and its affiliates, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or loss of goodwill, arising out of or in connection with your use or inability to use the App.

Our total liability for any claim arising out of or related to this EULA or your use of the App shall not exceed the amount you have paid, if any, to Little Swaps for access to the App in the past twelve months.

9. Governing Law and Dispute Resolution

This EULA is governed by the laws of the State of New York, without regard to its conflict of law principles.

Dispute Resolution: You agree to first attempt to resolve any disputes informally by contacting us at support@littleswaps.com. If unresolved, disputes shall be settled through binding arbitration in New York, in accordance with the American Arbitration Association rules. The decision of the arbitrator shall be final and binding.

10. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Entire Agreement

This EULA, along with our Privacy Policy and Terms and Conditions, constitutes the entire agreement between you and Little Swaps regarding the App and supersedes any prior agreements, whether written or oral.
